Terms of Service

The agreement between you and Inkwell Labs — what you can expect from us, and what we expect from you.

01Agreement to these terms

These Terms of Service (the “Terms”) form a binding agreement between you and Inkwell Labs(“Inkwell”, “we”, “us”). They govern your access to and use of the Inkwell web application, client portals, APIs, and everything else we offer under the Inkwell name (together, the “Service”).

By creating an account, clicking “Get started”, or using the Service in any way, you agree to these Terms and to our Privacy Policy and Refund Policy, each incorporated here by reference. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation, and “you” refers to it.

02Who may use Inkwell

To use the Service you must:

  • Be at least 16 years old, or the age of digital consent where you live, whichever is higher.
  • Not be barred from using the Service under the laws of your country or ours.
  • Not have had a previous Inkwell account suspended or terminated for a breach of these Terms.

The Service is not directed at children. See Children's privacy in our Privacy Policy.

03Your account

You need an account to use most of Inkwell. You may sign up with an email address and password, or through a supported identity provider such as Google or GitHub.

Keeping it secure

You are responsible for everything that happens under your account, including activity by collaborators you invite. Keep your credentials confidential, use a strong and unique password, and tell us immediately at thekodevs@gmail.com if you suspect unauthorised access.

Accurate information

Give us accurate account and billing information, and keep it current. We may suspend an account whose details we cannot verify.

Collaborators and client portals

On plans that support them, you may invite collaborators to a workspace and share client portals with people outside it. You decide what they can see. You are responsible for the people you invite and for ensuring you have the right to share whatever you share with them.

04Plans, billing and taxes

Inkwell offers a free plan (Sketch) and paid subscription plans (Folio and Studio). Current prices, features and limits are listed on our pricing page, which forms part of these Terms.

Subscriptions renew automatically

Paid plans are sold as a subscription billed monthly or annually in advance. Unless you cancel before the end of the current billing period, your subscription renews automatically for another period of the same length, at the then-current price, and we charge your payment method on file.

Trials

Where we offer a free trial, we will tell you its length before you start. If you do not cancel before the trial ends, the subscription begins and the first charge is taken. We may limit trials to one per person or organisation.

Cancelling

You may cancel at any time from Settings → Billing. Cancellation stops the next renewal; your plan stays active until the end of the period you have already paid for. For money back, see our Refund Policy.

Price changes

We may change prices. If a change affects your subscription, we will give you at least 30 days' notice by email before it applies to a renewal, and you may cancel before then.

Taxes and payment processing

Prices exclude VAT, GST, sales tax and similar taxes, which we add where required. Payments are processed by our payment provider; we never store full card numbers. Failed or reversed payments may result in suspension of paid features until the balance is settled.

The free plan is free forever, and we will never convert it into a paid plan without your explicit action.

05Your content stays yours

Everything you put into Inkwell — notes, tasks, documents, journals, boards, files, invoices, time entries (“Your Content”) — belongs to you. We claim no ownership of it.

The licence you grant us

To run the Service, we need permission to handle Your Content. You grant Inkwell a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display and adapt Your Content solely to operate, secure, back up and improve the Service for you, and to provide features you ask for. This licence ends when you delete the content or close your account, except for backups that age out on our normal schedule.

What we will not do

  • We do not sell Your Content, ever.
  • We do not use Your Content to train foundation models, ours or anyone else's.
  • We do not read Your Content except when you ask for support, when the law requires it, or when narrowly necessary to investigate abuse or a security incident.

Your responsibility for it

You represent that you own or have the necessary rights to Your Content, and that it does not infringe anyone's rights or break any law. You are responsible for keeping your own copies of anything you cannot afford to lose. Export is available at any time from Settings → Data.

06Acceptable use

Use Inkwell for your work, your life, and your ideas. Do not use it to:

  • Break the law, or infringe intellectual property, privacy or publicity rights.
  • Upload malware, or content that is unlawful, harassing, hateful, or sexually exploitative of minors.
  • Send spam or unsolicited bulk messages through portals, comments or invitations.
  • Probe, scan or test the vulnerability of the Service, or breach its security or authentication, except under our published security-research policy.
  • Access the Service by automated means beyond our documented API, scrape it, or circumvent rate limits and plan limits.
  • Resell, sublicense or white-label the Service without our written permission.
  • Impose an unreasonable load on our infrastructure, or interfere with anyone else's use of the Service.
  • Reverse engineer or attempt to derive the source code of the Service, except to the extent the law says we cannot stop you.

If you find a security vulnerability, please report it to thekodevs@gmail.com instead of exploiting it. We will not pursue legal action against good-faith research that follows that policy.

07AI features

Inkwell includes an AI sidekick that can summarise, draft and answer questions using Your Content as context. By using it you instruct us to send the relevant content to our AI provider for the sole purpose of generating a response for you.

  • Inputs and outputs are not used to train models. We contractually require this of our providers.
  • Outputs may be wrong. AI systems make things up. Do not rely on generated content for legal, financial, medical or other consequential decisions without checking it.
  • You own the outputs as between you and us, and you are responsible for how you use them.
  • Usage may be metered or rate-limited by plan, as described on the pricing page.

AI output is a draft, not advice. Check anything that matters before you act on it or send it to a client.

08Our intellectual property

The Service — its software, design, the Inkwell name, logo and other brand features — belongs to Inkwell Labs and its licensors, and is protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with your plan. No other rights are granted.

Feedback

If you send us ideas, suggestions or feedback, we may use them freely, without obligation or compensation to you. Please do not send us confidential information you do not want us to use this way.

09Third-party services

Inkwell connects to services we do not control — identity providers, payment processors, storage, calendars, repositories and similar integrations. When you connect one, you authorise us to exchange data with it on your behalf, and its own terms and privacy policy govern what it does with that data.

We are not responsible for third-party services, and we may stop supporting any integration at any time. Links from the Service to other sites are provided for convenience and are not endorsements.

10Availability, support and changes

We work hard to keep Inkwell up, but the Service is provided on an as-is, as-available basis. We do not promise any specific uptime unless we have signed a separate written agreement with you.

  • We may perform maintenance, and will try to schedule disruptive work outside peak hours.
  • We may add, change or remove features. If we remove or materially degrade a feature you rely on, we will give reasonable notice where we can.
  • Support is provided by email at thekodevs@gmail.com, with priority handling on paid plans.

11Suspension and termination

By you

You may stop using Inkwell and delete your account at any time from Settings → Account. Export your data first — deletion is permanent.

By us

We may suspend or terminate your access, with notice where practicable, if you materially breach these Terms, if your use puts the Service or other users at risk, if payment is overdue, or if we are required to by law. For serious breaches — for example, illegal content or an active attack on our systems — we may act immediately and without notice.

What happens to your data

After termination we keep Your Content for 30 days so you can export it or reactivate, unless the law or a legal hold requires otherwise. After that window we delete it from production systems, and it ages out of backups within a further 90 days.

Sections that by their nature should survive termination — content ownership, disclaimers, liability limits, indemnity, and governing law — do survive it.

12Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any content — including AI output — is accurate or reliable. Inkwell is a productivity tool; it is not a provider of legal, tax, accounting, financial or medical advice.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you. Nothing here limits rights you have as a consumer that cannot be limited by contract.

13Limitation of liability

To the fullest extent permitted by law, neither Inkwell Labs nor its officers, employees or suppliers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business, or data, however caused and under any theory of liability, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim and (b) one hundred US dollars (US$100).

These limits apply to the maximum extent permitted by law. They do not exclude liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

14Indemnity

You agree to defend, indemnify and hold harmless Inkwell Labs and its people from any claim, demand, loss or expense (including reasonable legal fees) arising out of Your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right — including claims brought by collaborators or portal guests you invited. We will notify you of any such claim and may participate in its defence with counsel of our choosing.

15Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Inkwell Labs is established, without regard to conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court to protect its intellectual property.

If you are a consumer resident in the European Union or the United Kingdom, you keep the benefit of any mandatory protections of the law of your country of residence, and you may bring proceedings in your local courts.

Before filing anything, email thekodevs@gmail.com with a description of the problem. We will try in good faith to resolve it informally within 30 days. Most disputes end here.

16Changes to these terms

We may update these Terms as Inkwell evolves. When we make a material change, we will update the “last updated” date above and notify you by email or an in-app notice at least 14 days before it takes effect.

Continuing to use the Service after a change takes effect means you accept the revised Terms. If you do not accept them, cancel your subscription and stop using the Service; if the change materially disadvantages you, contact us and we will refund the unused portion of your current term.
